Professional offer (partnership terms)

DRAFT: this text has not been legally reviewed. It must be checked against Uzbekistan law before launch. 1. General provisions 1.1. This document is a public offer from the operator of the Usta24 platform (the “Platform”) addressed to individuals who provide household services (the “Professional”) and sets out the agreement for information-technology services between the Platform and the Professional. 1.2. The Professional accepts the offer by ticking agreement to the terms at registration. Consent to personal data processing is given with a separate tick. 1.3. The Platform is not the Professional’s employer. The Professional acts independently (as self-employed or a sole proprietor): organises their own work, bears business and tax risks, uses their own tools and is not subject to the Platform’s internal work rules. 1.4. The Platform is a digital intermediary. It does not perform repair work, does not hold the Customer’s money for the work and does not receive payments. The contract for the work is concluded directly between the Professional and the Customer when the order is accepted. 2. Definitions • Order — the Customer’s request for work; Catalog — the tasks and prices published on the Platform. • Estimate (checklist) — the list of work and materials the Professional prepares after inspection; approved by the Customer. Approved versions are never edited. • Labour amount — the value of the work (labour) in the approved estimate; separately listed materials are not included. • Commission — the Platform’s fee for its services: a percentage of the labour amount of an order that is completed and confirmed by the Customer (rate in section 7). • Commission payment — a transfer from the Professional to the Platform, confirmed by staff, that reduces the commission owed. 3. Subject of the offer 3.1. The Platform gives the Professional access to customers’ orders and digital tools: accepting orders, statuses, estimates, communication, recording payments, earnings and commission accounting, ratings. 3.2. The Professional undertakes to perform accepted orders to a good standard and to follow these terms. The Platform receives a commission for its services (section 7). 3.3. The offer does not guarantee the Professional any number of orders, minimum income, steady work or exclusive access. 4. Registration and verification 4.1. Requirements: at least 18 years old; the right to work; a smartphone with internet access; experience in the chosen categories (stated by the Professional). 4.2. The Professional completes an application: city, location, service radius, categories (skills), experience, languages, schedule, a photo of an identity document (passport/ID) and, where needed, qualification documents. Staff review the documents manually; verification through a state identification system (e.g. MyID) may be added later. 4.3. The Platform may request more information, reject an application, or suspend or deactivate a Professional. Only a Professional with “Verified” status and no restriction can go online and accept orders. 4.4. Identity documents are stored privately, visible only to authorised staff, and every access is logged. Retention is 3 years from upload by default, or until the account is deleted (see the Privacy Policy). 5. Accepting and performing orders 5.1. The Professional switches “Online” on and updates their location. A new order is offered to several of the nearest suitable Professionals (by radius, category, schedule and workload); when time runs out the next group is offered. Distance, rating, fair distribution and workload are all considered — not rating alone. 5.2. Before accepting, the Professional sees only general information: category, tasks, description, area, approximate distance and indicative labour amount. The first to accept gets the order; if another Professional accepted, the app shows it. The number of simultaneous active orders is limited (2 by default). 5.3. After acceptance the Professional sees the Customer’s name, phone and exact address; they may be used only for that order. The Professional marks arrival, start of inspection, start and end of work in the app. 5.4. After inspection the Professional prepares the estimate and sends it to the Customer. Work begins only after approval. Additional work is sent as a separate version and is neither performed nor counted until the Customer approves. An order cannot be completed while an additional-work proposal is pending. 5.5. When finished, the Professional marks “Work finished”; the Customer confirms or asks for rework. The Professional records the payment received in the app. 6. Pricing 6.1. A line for a catalog task with a fixed, per-unit or hourly price must not exceed the price published by the Platform (for the region). For tasks priced after inspection, individual tasks and free-form lines the Professional sets the price, subject to the Customer’s approval. 6.2. Materials are shown as separate lines in the estimate. Demanding payment beyond the approved estimate, or bargaining over price outside the agreed list, is prohibited. 6.3. The Professional receives payment for the work directly from the Customer (cash or bank transfer). The Platform does not withhold any part of that payment; its fee is accounted separately as commission. 7. Commission and settlements 7.1. There is no subscription, no entry fee and no mandatory paid package. The Platform’s fee consists only of commission. 7.2. The commission is 5% of the approved labour amount of an order that is completed and confirmed by the Customer (current rate; the rate in force is shown on the Pricing page). Materials are excluded from the base by default. Example: labour 100,000 UZS → commission 5,000 UZS, the Professional keeps 95,000 UZS (before their own expenses). 7.3. The rate and calculation base are fixed when the Professional accepts the order and do not change for that order. Later changes apply only to orders accepted after the change and are announced in advance. 7.4. No commission is charged on cancelled, expired, rejected or never-started orders, or on additional work the Customer has not approved. Commission is charged only once per order. 7.5. Accrued commission is the Professional’s debt to the Platform (a receivable), not money received. It becomes “due” when the Customer’s payment is confirmed or 7 days after accrual (the period is configurable). 7.6. The Professional transfers the commission to the details given by the Platform and enters the amount and a reference in the app. A payment counts only after staff confirm it; until then the debt does not decrease. Partial payment is possible; funds are allocated to the oldest commissions first and cannot exceed the amount owed. Re-submission is not counted twice. 7.7. On a refund or dispute: the related commission is frozen while the dispute lasts (it cannot be paid); on a full refund it is cancelled, on a partial refund reduced proportionally. All adjustments are kept as separate records — the original amount is never edited. If the Professional overpaid, the difference is shown as a “credit” and settled through support. 7.8. The Professional’s dashboard shows total completed work value, commission accrued, paid and remaining, the disputed amount and a breakdown per order. If commission is unpaid the Platform may send reminders and restrict access to new orders until it is paid. The Platform does not request or store full bank card or account details. 8. Quality standards and prohibitions 8.1. The Professional: arrives at the agreed time; works to a good standard and with care; cleans up; is polite and presentable; has the necessary basic tools; follows safety rules. 8.2. Prohibited: demanding payment beyond the approved estimate; taking a job found through the Platform outside the Platform to avoid commission; disclosing or otherwise using Customers’ personal data; posing as Platform staff; giving false information or documents; insults, threats and fraud. 8.3. Warranty: where warranty requests are enabled on the Platform, the Professional responds to the request in the app and, in justified cases, fixes defects at their own cost. Platform staff review the request. The Platform does not cover warranty costs. 9. Rating, cancellation and restrictions 9.1. After each completed order the Customer gives a rating from 1 to 5; the Professional’s rating is the average of visible ratings. The Platform may hide a review that breaks the rules (the record and history are kept). The Professional cannot reply publicly to a review but may file a complaint. 9.2. The Professional may cancel an accepted order, giving a reason, until they send the estimate; the order is offered again to other Professionals. There are no monetary fines, but 3 cancellations within 30 days restrict the account for 24 hours (default values; shown in the app) and the Professional is taken offline. The restriction is shown in the app and the Professional can submit an appeal, which staff review. 9.3. A cancellation caused by the Customer or by confirmed circumstances beyond the Professional’s control (false address, Customer absent, safety threat) is reviewed through an appeal. 10. Taxes 10.1. The Professional is personally responsible for paying taxes and issuing receipts where required. The Platform does not check the Professional’s tax status, does not withhold tax from their income and is not a tax agent. 11. Personal data 11.1. The Platform processes the Professional’s name, phone, document photos, location (while online), profile data, order history, ratings and commission records — purposes, retention and rights are in the Privacy Policy. 11.2. The Professional’s phone number is visible only to the Customer of the order they accepted. The Professional uses Customer data only to carry out the order and does not pass it to third parties. 12. Termination 12.1. The Professional may stop at any time and request account deletion when there are no active orders and any commission owed has been paid. 12.2. The Platform may suspend the Professional or terminate the agreement for repeated breaches of the quality standards, fraud, commission avoidance, forged or expired documents. The obligation to pay accrued commission remains. 13. Disputes, final provisions and force majeure 13.1. Disputes between the Professional and the Platform are first handled through support; failing agreement, under the law of the Republic of Uzbekistan. In disputes between the Professional and the Customer the Platform acts as intermediary and gives a decision or recommendation based on app records; this does not limit the right to go to court. 13.2. The Platform may change the terms by notifying the Professional in the app at least 14 days in advance. The parties recognise the legal force of notices sent through the app, SMS, Telegram and email. 13.3. The parties are released from liability for failure to perform caused by force majeure; the affected party notifies the other within 3 business days. 14. Legal basis • Civil Code (public offer, contract work); the laws “On Protection of Consumer Rights”, “On Electronic Commerce”, “On Personal Data”; the Tax Code; the Labour Code (as to distinguishing employment from civil-law relations).
